Imexpharm hosts 2016 Annual General Shareholders' Meeting

On the morning of April 15, 2017, the 2016 Annual General Shareholders' Meeting successfully took place at the headquarters of Imexpharm Company at No. 4, 30/4 Street, Ward 1, Cao Lanh City, Dong Thap Province.

Representing the local authorities of Dong Thap Province, Imexpharm was honored to welcome Mr. Chau Hong Phuc – Deputy Chairman of the People's Committee of Dong Thap Province, Mr. Tran Hoang Vu – Provincial Party Committee Member, Secretary of the Party Committee of the Business Sector, Mr. Le Thanh Tong – Director of Dong Thap Tax Department, and Mrs. Pham Thi Ngoc Dao – Deputy Director of the Dong Thap Department of Planning & Investment.

From the Vietnam Pharmaceutical Group – Joint Stock Company, the meeting was attended by Mr. Dinh Xuan Han – Member of the Board of Directors, CEO of Vietnam Pharmaceutical Group – JSC, Mrs. Han Thi Khanh Vinh – Member of the Board of Directors, Deputy CEO of Vietnam Pharmaceutical Group – JSC, Mr. Nguyen Duc Thang – Head of Southern Representative Office of Vietnam Pharmaceutical Group, Mr. Nguyen Quy Son – Former Chairman of the Board of Directors of Vietnam Pharmaceutical Group, along with shareholders and representatives from both domestic and international stakeholders.

The meeting successfully approved various reports and resolutions for the year 2016, along with plans for 2017, with a unanimous approval rate of 100%. These included:

  • Approval of the 2016 Board of Directors' Activity Report.
  • Approval of the 2016 financial and operational report and the 2017 plan from the Executive Board.
  • Approval of the 2016 Supervisory Board Report.
  • Approval of the 2016 Audit Report on the Financial Statements.
  • Approval of the 2016 operational cost report of the Board of Directors and Supervisory Board.
  • Approval of the 2017 operational cost report of the Board of Directors and Supervisory Board.
  • Approval of the profit distribution and dividend payout plan for 2016, including the dividend payment plan for 2017.
  • Approval of the selection of an independent auditor for 2017.
  • Approval of the amendments to the company's charter.
  • Approval of the establishment and use of the R&D Fund.
  • Approval of the proposal to issue shares for the 2016 dividend payout.
  • Approval of the meeting minutes and resolutions.

Of particular interest was the 2016 dividend payout, which was as follows: A dividend of 18% (calculated on the total number of outstanding shares: 39,062,139 shares), including: 8% cash dividend based on the par value of the outstanding shares and 10% stock dividend on the number of outstanding shares.

Ms. Tran Thi Dao – General Director, on behalf of the Executive Board, presented the report on 2016 business performance, including revenue, profit, and progress on new investment projects for the two high-tech factories: Binh Duong High-Tech Factory and Vinh Loc High-Tech Antibiotics Factory, along with plans and solutions for 2017.
Mr. Dinh Xuan Han – Member of the Board of Directors, CEO of Vietnam Pharmaceutical Group – JSC, congratulated Imexpharm for its achievements, as presented in the reports. He thanked the Board of Directors and all staff of Imexpharm for their dedication, intelligence, and hard work in contributing to the company’s success. He also expressed gratitude to the leadership of Dong Thap Province for their ongoing support of Imexpharm. He discussed the growing trend of global integration and mergers and acquisitions (M&A) within the pharmaceutical industry, highlighting the challenges Imexpharm will face in the future. However, with its professionalism in management and application of high technology, Imexpharm is expected to become one of the strong and sustainable companies. He reassured Imexpharm of Vietnam Pharmaceutical Group’s ongoing support and expressed confidence in the company's future growth.

Mr. Nguyen Quy Son – Former Chairman of the Board of Directors of Vietnam Pharmaceutical Group, Member of the Board of Directors, and representative of Vietnam Pharmaceutical Group’s capital at Imexpharm, shared his personal thoughts and feelings about his long association with Imexpharm, during both difficult and successful times. He particularly emphasized Imexpharm's success in attracting and retaining talent, highlighting the recruitment of Mr. Le Van Nha Phuong from AMPHARCO as a prime example.
